Section 1. TITLE

The Title of the Corporation is "WEST YORK MEMORIAL POST No. 8951. VETERANS OF FOREIGN WARS HOME ASSOCIATION," hereinafter known. described and referred to in these BY-LAWS as the HOME ASSOCIATION.

Section 2.  LOCATION

The location of its principal offices shall be 1800 ANDREW STREET, in the BOROUGH OF WEST YORK, COUNTY OF YORK, STATE OF PENNSYLVANIA.

Section 3. OBJECTS

The Objects of the Corporation are Fraternal, Patriotic, Historical and Educational; To preserve and strengthen comradeship among it's active members; To assist worthy comrades; To perpetuate the memory and history of our dead, and to assist their widows and orphans; To maintain true allegiance to the Government of the United States of America, and fidelity to it's Constitution and Laws; To foster true patriotism; to maintain and extend the institution of American freedom, and to preserve and defend the United States of America against all her enemies whomsoever.

Section 4. PURPOSE

The purpose of the Home Association is the formation of an association to hold for the active members of the association in fee simple and any and all business, property, real estate, bonds or any other assets that are now in, or may hereinafter become the property, or entry into the ownership of this association. The Association is organized as a non-profit association and as such shall be governed by the Non-Profit Corporation Law of Pennsylvania

(1933 P.L. 298) and IRC Section 501 (C) (7). All assets of this Association shall be owned jointly and equally by each active member of this Association who must be in good and official standing: If for any reason this Association should find it necessary to desist or cease to function, the President shall call a special meeting, notifying each active member of the Home Association at least five days in advance and the notice must state the reason for the meeting and that is. "shall we continue, or disband the Home Association." A two-thirds majority vote of the membership present must decide either question. In the event the active members vote to disband the Home Association, all assets of the Association shall be sold. The sale of the assets of the Home Association shall be under the authority and direction of the Board of Directors. All bills, debts, assessments, taxes, liens or other encumbrances of the Home Association shall then be paid. No part of the net earnings will ever inure to the benefit of any private shareholder or member. The Board of Directors shall prepare an itemized statement of all transactions concerning the sale of the assets of the Home Association and this statement must be audited by and approved by the Trustees. A copy of this statement shall be furnished to each active member and the remaining proceeds will be turned over to the National Headquarters, Veterans of Foreign Wars.

ARTICLE II

Government

Section 1. BOARD OF DIRECTORS

The property and canteen of the Home Association shall be managed and controlled by a Board of nine (9) Directors. Directors shall consist of four (4) elected members, President of the Home Association, the Commander, Senior Vice Commander, Junior Vice Commander of the West York Memorial Post No. 8951, Veterans of Foreign Wars, and the Secretary-Treasurer of the Home Association. A chairman of the Board of Directors shall be elected by the majority of the Directors at it's first meeting in May. Any member of the Board of Directors may be elected Chairman except President of the Home Association. Secretary-Treasurer, and

Commander of West York Memorial Post No. 8951. The Chairman shall preside at all meetings of the Board of Directors and as such shall coordinate with the President of the Home Association, the Commander of the Post and shall carry out all conclusions and instructions of the Board of Directors pertaining to the operation of the Canteen and property of the Home Association. In the absence of the Chairman of the Board of Directors at any meeting, the senior in length of office shall preside. All Members of the Board of Directors shall be active members in good and official standing and who shall have attained the age of twenty-one (21) or more years.

Article III

Section 1. MEMBERSHIP

Membership in the Home Association shall consist of Active Members, Social, Auxiliary, and Service Veterans.

Section 2. ACTIVE MEMBERS

Active memberships shall be limited to members in good standing of WEST YORK MEMORIAL POST No. 895I, VETERANS OF FOREIGN WARS. Each candidate for active membership in the Association, shall make written application and must be recommended by an active member who is in good standing in the Association.

Such application shall be presented and read at a regular meeting of the Home Association and the applicant shall be balloted upon for election or rejection for membership in the Home Association. A majority vote of approval shall be necessary to elect an applicant into membership. Each applicant for active membership in the Home Association, if elected, shall subscribe to the constitution and by-laws of the Home Association and shall pay annual dues in the sum of one dollar ($1.00) before he shall be deemed a member.

Section 3. AUXILIARY, SERVICE VETERANS, AND SOCIAL MEMBERS, SONS/GRANDSONS/STEPSONS OF VETERANS

Sub-Section 3A. AUXILIARY MEMBERS

Membership in the Home Association under this section shall be restricted to members in good standing, of the Ladies' Auxiliary to WEST YORK MEMORIAL POST No.8951, VETERANS OF FOREIGN WARS.

Each applicant of the auxiliary for membership in the Home Association shall make written application and must be recommended by the Secretary and/or Treasurer of the Ladies Auxiliary to West York Memorial Post No. 8951, Veterans of Foreign Wars.

The application must be accompanied by a fee of one dollar ($1.00) dues for the current year, and shall be presented and read at a regular meeting of the Home Association. The application shall then be balloted upon for election or rejection for auxiliary membership in the Home Association. A majority vote of approval shall be necessary to elect any applicant. An auxiliary member shall not be entitled to a vote in any of the affairs of the Home Association.

Auxiliary membership cards shall be issued by the Secretary-Treasurer of the Home Association to each auxiliary member.

Sub-Section 3B. SERVICE VETERANS

Veteran requirements. Active or Honorably discharged members of the Armed Forces of the United States. All other items are to be the same as Social Members.

Sub-Section 3C. SOCIAL MEMBERS

Each candidate for membership in the Home Association shall make written application and be sponsored by two (2) active members who are in good standing in the Home Association. Applications shall be presented to the B.O.D. for initial approval, after which it will go to the Investigation Committee consisting of three (3) active members appointed by the President of the Home Association for investigation. After investigation, applications will be presented to the membership for approval. A two thirds (2/3) majority vote by ballot box will be required for approval.

Each applicant for social membership in the Home Association, if elected, shall subscribe to the by-laws and house rules of the Home Association, and shall pay an initiation fee and annual dues to be determined by the Board of Directors. Dues shall be determined by the majority vote of the Board of Directors; However, such dues shall never be less than the total dues of an active member of the Veterans of Foreign Wars.

A social member shall not be entitled to a vote or a voice in any affairs of the Home Association. Social members shall hold no office in the Home Association. Social members are not eligible to attend any meetings unless invited in writing by the officers of the Home Association.

The number of social members shall not exceed 50% of the active membership of the VFW Post based on membership as of 12/31 of the previous year. Social membership additions not to exceed five (5) new social members per month.

Special membership cards shall be issued by the Secretary-Treasurer of the Home Association to each social member.

Sub-Section 3D SONS/GRANDSONS/STEPSONS OF VETERANS

Membership shall be limited to Sons/Grandsons/Stepsons of Veterans or present members of the U.S. Armed Forces with honorable service a/o possess an Honorable Discharge. Applicants must be related to Active Members of the Post or Service Veterans of the Home Association and must have attained 21 Years of age.

All other requirements are the same as Social Members.

Section 4. SUSPENSION OR EXPULSION

The Chairman of the Board of Directors shall have the authority to suspend any member for conduct unbecoming a member until such time as the Board of Directors can be convened in order to take appropriate action.

"Discipline - Grounds and Procedure"

Sub-Section 41. GROUNDS FOR DISCIPLINE

A majority of the Board of Directors shall have the power to discipline members by fine, suspension or expulsion for willful infraction of the house rules or of any by-laws of the Association. or for acts of conduct that they deem disorderly, injurious, or hostile to the interest or object of the Association.

Sub-Section 4B. APPEAL BY MEMBER

The offender may appeal from the discipline imposed, as herein provided.

1.  Notice of Appeal. A member disciplined by the Board of Directors may appeal there from within thirty (30) days after notice thereof, by filing with the Secretary a written notice of his appeal, and the reasons therefore.

2. Time for Hearing Appeal. All appeals shall be tried at the next meeting of the Board of Directors.

3. Hearing. The Secretary shall place the Appeal on the agenda of the next meeting of the Board of Directors, at which time the offender shall be requested to give an explanation. If the explanation is unsatisfactory to the Board. the offender shall be entitled to a fair hearing.

4. Disposition of Appeal. After considering the evidence, the Board shall decide de novo the discipline to be imposed based upon majority vote. The Board's decision shall be accepted as final and binding by all parties involved, and not subject to re view or revision by any other Court or tribunal.

ARTICLE IV

Meetings

Section 1. REGULAR MEETINGS

The stated meetings of the Home Association shall be held on the third (3rd) Tuesday of each month. If the stated meeting shall fall on a legal holiday, then the meeting shall be held on the fourth (4th) Tuesday of that month, at the office of the Home Association, 1800 Andrew Street, in the Borough of West York, County of York, State of Pennsylvania.

Section 2. SPECIAL MEETINGS

The President shall call a special meeting of the Home Association, whenever, in his opinion, the same may be necessary for the welfare of the Home Association. A special meeting shall be called upon request, in writing, signed by eleven (11) active members of the Home Association, or by a majority of the Board of Directors.

The Secretary-Treasurer of the Home Association shall notify all members, in writing, of the business to be transacted; such notice is to be postmarked at least five (5) days in advance of the special meeting except that for which the meeting was expressly called.

Section 3. BOARD OF DIRECTORS MEETINGS

Regular meetings of the Board of Directors shall be held on the first and third Mondays of each month, except on Holidays when the meetings will be held on the following Monday after the Holiday. Meetings will be held in the Home Association, 1800 Andrew Street, West York, Pennsylvania, or at such time and place fixed by the majority vote of the Board of Directors. Notice of such meetings shall be posted on the Club's Bulletin Board five (5) days prior to the Meeting.

Special meetings of the Board of Directors may be called by the Chairman of the Board on one (1) day's notice to each Director. Special meetings may be called in like manner, on the request, in writing. of a majority of the members of the Board.

The Secretary-Treasurer of the Association shall give each Director due notice of the time and place fixed for any meeting of the Board of Directors. A majority of the Board of Directors shall be necessary to constitute a quorum for the transaction of business of either regular or special meetings

Section 4. QUORUM

Ten members in good standing, shall constitute a quorum for the transaction of all business at any regular or special meeting of the Home Association. An Attendance record shall be maintained by the Secretary-Treasurer of the name of each member attending the regular monthly meeting of the Home Association.

ARTICLE V

Election

Section 1. NOMINATION OF OFFICERS

The Officers of the Home Association, President, Secretary-Treasurer, Guard, One (1) Trustee and two (2) Directors, shall be nominated at the regular meetings of the Home Association, in the months of March and April. All elected officers of the Home Association must have obtained at least one (1) year of continuous membership to be eligible to hold office.

Notice of nomination and election shall be mailed to each member in good standing at his last known Post Office Address by the Secretary-Treasurer of the Home Association at least five (5) days prior to the date of nomination.

Section 2. ELECTION OF OFFICERS

The annual election of Officers and members of the Board of Directors shall be held the first Tuesday of May at the office of the Home Association, 1800 Andrew Street, Borough of West York.

County of York, State of Pennsylvania. The President, Vice Pres-ident. Secretary-Treasurer, and the Guard shall be elected for a term of one (1) year.

One Trustee shall be elected each year for a term of three (3) years.

Each elective member of the Board of Directors shall be elected for a term of two (2) years and in sufficient number to maintain the total of four (4) elected members of the Board of Directors at all times.

Any member must have attended at least two (2) regular meetings in the past fiscal year to be eligible for nomination and election to any office in the Home Association, except that of Trustee, for whom no requirement for attendance shall be required.

Each active member in good standing shall be entitled to one vote.

At the nominations of Officers, the President, as each office is placed in nomination, shall read from these by-laws. the duties and responsibilities of the office.

A printed ballot shall be prepared listing the name of each nominee for each office, and space provided for the writing in of additional nominee for each office, and space provided for the writing in of additional nominees at the time of election. Picture of all nominees will be posted after April's Post & Home Association meeting on Bulletin Board and during the election. The candidate who receives the highest number of votes shall be declared the winner. Should there be more than one candidate per office, the ballots will be available anytime during the day of election from 11:00 AM until 7:00 PM to cast your vote.

A committee of five (5), one (1) Judge and four (4) tellers, who are not nominees for any office in the Home Association, shall be appointed by the President to supervise the election. They shall distribute and collect the ballets, and shall count the ballots and verify the results of the election, and announce the results thereof to the members present.

If the office of any Officer or member of the Board of Directors shall become vacant by reason of death, resignation, disqualification, or absence of three consecutive meetings, the President shall claim such office vacant and the Home Association shall fill such office by nomination and election at that meeting of the Home Association, and the member so elected shall fill the unexpired term of the member vacating such office. The highest number of votes will determine who fills each office. In case of a tie vote, a flip of a coin will decide the winner. The President of the Home Association will flip the coin.

In the case of more than one office, or where several nominations have been made for one office the candidate or candidates who have received the highest number of votes shall be declared elected. That is, where one office is being voted for, the candidates receiving the highest number of votes will be declared elected. Where two or more offices are being voted for, the candidate receiving the highest number of votes will be declared first elected, the candidate receiving the next highest number of votes will be declared the second elected, and so on for each office.

When one office is being voted for, and the vote results in a tie, another ballot will be taken with all nominees' names again on the ballot. In event of a second tie then another ballot will be taken and contain only the names of the nominees who are tied. The nominee receiving the highest number of votes will be declared elected.

Where two or more offices are being voted for, and a tie results. the nominees receiving the highest number of votes will be declared elected, and in event of a tie vote on the remaining office or offices, the remaining nominees' names shall be placed on a ballot and shall then be voted for the remaining office or offices. This action shall be repeated in case of succeeding ties.

All officers holding any office in the Home Association shall continue to hold such office until his successor is duly elected and installed.

ARTICLE VI

Duties and Powers

Section 1. POWERS OF MEMBERSHIP

All Decisions, issues, or business of the Home Association, unless expressly provided otherwise in these By-Laws, shall be brought before the membership of the Home Association for vote and decision by a majority vote and such decision by vote of the membership shall be declared in full force and as such shall be accepted and the decision of the membership shall be carried out by the Board of Directors, or other designated officers or members.

Section 2. POWERS OF THE BOARD OF DIRECTORS

The Board of Directors shall have charge of the management of the business of the Home Association, and in addition to the pom-ens and authority expressly conferred upon them by these By-Laws. may exercise all such powers and do all things as may be exercised or done by the Home Association, but subject nevertheless, to the provisions of the charter and these By-Laws. It is hereby expressly declared that the Board of Directors shall have the following powers and limitations.

1. All expenditures of funds must be first approved by a majority vote of the members of the Home Association at a regular meeting, except the funds expended in the operation of the business of the bar and it's associated operations, and such emergency repair or maintenance of the Home Association building as required These expenditures will be reported in the Secretary-Treasurer's report of receipts and expenditures.

2. To purchase or otherwise lawfully acquire for the Home Association, and property, right or privileges, which the Association is authorized to acquire, at such prices and on such terms and conditions, and for such consideration as the membership of the Home Association deems fit.

3. To pay for any property or rights acquired by the Home Association either wholly or partially, in money or in bonds, debentures or other securities of the Home Association as the membership of the Home Association deems fit.

4. To confer, by Resolution, upon any Officer of the Home Association, the right to choose, remove or suspend subordinate officer, agents or factors for cause.

5. To appoint any person or persons to accept or hold in Trust for the Home Association, any property, real or personal, belonging to the Home Association, or in which it is interested; or for any other purpose, and to execute and do all such duties and things as may be requisite in relation to any such trusts.

6. To authorize and direct the President, and Secretary-Treasurer of the Home Association to sign, in the Association's behalf. bills, notes, receipts, acceptances, endorsements, checks, releases, contracts, deeds, mortgages and/or other legal documents.

7. To provide, from time to time, for the management of the affairs of the Home Association the promulgation of any rules or regulations applicable to the running or functioning of any activity and in such manner as the Board of Directors think fit; and to delegate from time to time and as circumstances warrant, any of the powers of the Board of Directors to any Committee, Officer or

Agent, and to appoint any person or persons to be the agents of the Home Association with such powers and upon such terms as may be deemed advantageous to the Home Association. This delegation of authority or power must be approved by a two-thirds (2/3) vote of the Board of Directors.

8. The Board of Directors shall approve the semi-annual audit report of the Trustees before presentation of this report to the Home Association.

Section 3. DUTIES OF THE PRESIDENT

It shall be the duty of the President of the Home Association to preside at all regular or special meetings of the Home Association, excluding the canteen; to see that all orders, regulations and resolutions of the Home Association are carried into effect; to execute all contracts and agreements authorized by the Board of Directors; to affix the corporate seal of the Home Association to any instruments requiring the same, which seal shall always be attended to by the Secretary-Treasurer.

The President shall have general supervision of all the other Offices of the Home Association and shall see that their duties are properly performed.

The President shall be an ex-officio member of all standing and special committees and shall have general powers and duties supervising such committees.

Section 4. DUTIES OF THE VICE PRESIDENT

The Vice President shall be vested with all the powers of and shall be required to perform all of the duties of the President in his absence, and he shall perform other such duties as may be prescribed or assigned by the President and/or the Board of Directors. In the absence of the President of the Home Association he shall attend all meetings and have the vote of the President at such meetings.

Section 5. DUTIES OF THE SECRETARY TREASURER

The Secretary Treasurer shall be ex-officio secretary of the Board of Directors, and of all standing committees he shall attend all meetings of the Home Association and Board of Directors; he shall act as clerk thereof and record all notes and the minutes of all proceedings in a book to be provided for that purpose. He shall conduct the correspondence and clerical work that may be assigned to him; he shall receive all applications for membership in the Home Association and issue all membership cards; he shall sign all contracts, together with the President of the Home Association, and attach the corporate seal thereto when necessary and attest the same and he shall perform any and all other duties as may be prescribed or assigned by the President or the Board of Directors.

He shall keep complete and accurate accounts of receipts and disbursements of the Home Association, and only in the official books belonging to the Home Association. He shall receive and deposit all monies and other valuable effects of the Home Association in the name of and to the credit of the Home Association, in such depositories as may be designated by the Board of Directors and not more than seven (7) days after receipt of same.

The Secretary-Treasurer shall be relieved of the duties of keeping a complete and accurate account of receipts and disbursements of the Home Association when an accountant has been employed to perform these duties.

He shall not disburse any funds, of any nature unless approved by vote of the members of the Home Association and so ordered by the Chairman of the Board of Directors based upon such approval or shown otherwise in these by-laws. He shall make proper vouchers for all such disbursements so ordered. All disbursements regardless of the amounts shall be made by official check and drawn on the funds of the Home Association. No disbursements shall be made or paid in cash.

He shall render an account of all transactions of the financial condition of the Home Association, to the Home Association any regular meeting, when so requested by either the President the Home Association, and to the Board of Directors at regular meetings of the Board at whatever time they may require it.

He shall render, annually, a complete report of all transaction and of the financial conditions of the Home Association at regular meeting of the Home Association in March, and to the Board of Directors at the regular meeting of the Board of Directors in February of each year.

The Secretary-Treasurer shall post a bond, issued by a reputable and sound bonding company, paid for by the Home Association.

It shall be in form and amount satisfactory and acceptable to the Board of Directors, for the faithful performance of the duties of his office and the restoration to the Home Association, in the event of his death, resignation, or removal from office, all books, papers, vouchers, money and any other property or properties of the Home Association, of whatever kind, mature, real or personal, that are or may be in his possession, under his control, loaned, stored or in the possession of any other person. The bond shall contain such other provisions as the Board of Directors may, from time to time, prescribe or require, for the faithful performance of all duties pertaining to his office.

He shall be paid a salary in an amount to be set by the Board of Directors, and such salary may be revised from time to time when found necessary, and with the approval of the Board of Directors.

Section 6.  DUTIES OF THE GUARD

The Guard will be responsible for maintaining order, and assuring that all those present our members in good standing, at all members of the Home Association. He shall perform such duties as may be prescribed or required by the president and/or the Board of Directors.

Section 7. DUTIES OF THE TRUSTEES

The Trustees shall audit the accounts of the Secretary-Treasurer annually, in the month of January and shall make a report thereof to the Home Association and the Board of Directors at the regular meeting in February. The report shall state that for the period which the audit was made, the accounts were found correct, or in event of discrepancy, to itemize each discrepancy found. The Trustees shall at any time other than prescribed in these by-laws, audit any

or all of the accounts or property accounting, when so requested by the Home Association or the Board of Directors. They shall perform such other duties as may be required of them by the President and/or the Board of Directors.

In the event the Trustees feel professional assistance is required in the auditing of the finances of the association, they may seek and retain outside assistance from a bonded firm at anytime with approval of the body.

ARTICLE VI

Fiscal Year

The Fiscal Year of the Home Association shall begin on the first (1st) day of January and terminate on the thirty-first (31st) day of December of that same year.

ARTICLE VIII

Books and Records

The books, records and accounts for the Home Association shall be available for inspection by any active member or members of the Home Association upon request to the President and at a time agreed upon by those members amaking the request, and the President.

ARTICLE IX

General Provisions

Section 1. Any member of the Home Association shall have the right to present to the Board of Directors, at any time, any criticisms or suggestions he may have for the improvement and betterment of the Home Association. Any such criticisms or suggestions thus brought before the Board of Directors, must be given their serious consideration. All such communications shall be submitted in writing.

Section 2. Nothing in these By-Laws or Minutes of the Home Association is intended to hinder, nullify, or in any way, interfere with the enforcement of the Laws of the Pennsylvania Liquor Control Board. Any rule, By-law or vote of the membership of the Home Association which is in conflict with the Liquor Control Board is hereby declared void.

Section 3. The Non- Profit Corporation Law of Pennsylvania (1933, P.L. 289) its present and future amendments and supplements, and Cushing's Manual of Parliamentary Law shall govern and control actions and deliberations of the Home Association in all instances where the Articles of Incorporation or these By-Laws do not govern or control such action.

ARTICLE X

Amendments

All amendments or revision of these By-Laws shall be made in the following manner:

1. Any proposed amendments or revisions shall be made in writing and shall be signed by not less than five (5) active members of the Home Association and shall be submitted to the President who in turn, shall cause the membership to be notified of the proposed changes in the By-Laws.

2. The President shall call a special meeting of the Home Association for the consideration of such By-Law changes within one (1) month after receipt of such petition for change, by mailing a notice, at least five (5) days prior to the date of the meeting, to each active member of the Home Association at his last known Post Office Address.

3. Any revisions, changes or alterations to the By-Laws must be read and approved at the special meeting called to consider the revision, change or alteration and at the succeeding regular meeting of the Home Association. A two-thirds (2/3) majority vote of the active members present at both meetings shall be required to adopt such revisions, change or alteration. A copy of such revisions, change or alteration to the By-Laws shall be posted at least five days before the special meeting, on the Home Association Bulletin Board and remain posted until such regular meeting succeeding said special meeting.

4. Upon adoption of any such amendments or revisions of the By-Laws, then such amendments or revision shall become into full force and effect at the time that the vote was announced approving the amendment or revision.

ARTICLE XI

Bonds

The President, Secretary-Treasurer and Steward of the Home Association, whose duties require the handling, care of, and accounting for, any or all of the Home Association funds, shall be bonded by a reliable corporate surety in such amounts as may be required by the Board of Directors.

The cost of bonding these officers or employees shall be paid by the Home Association.

Order of Business

The order of business at all meetings of the Home Association and the Board of Directors shall be as follows:

This is to certify that at a meeting of the home association held Tuesday, February 21, 1996, inconformity with Article X hereof, the foregoing bylaws were revised and amended.

These revisions of bylaws shall become effective immediately with the exception of those pertaining to elective officers, which shall become effective at the next nomination and election of officers of the home association.
